If you do not agree with any part of these terms, you are prohibited from using our site or purchasing our products. 2. Business-to-Business (B2B) Transactions

The Elite Liquidators operates primarily as a Business-to-Business (B2B) wholesale supplier. By purchasing from us, you represent and warrant that you are purchasing goods for the purpose of resale and that you possess the necessary business licenses and resale certificates required by your state or municipality.

3. Product Conditions & "AS-IS" Disclaimer

Due to the nature of the liquidation industry, all merchandise including but not limited to overstock, shelf pulls, customer returns, and salvage goods is sold strictly "AS-IS, WHERE-IS".

• We make no warranties, express or implied, regarding the merchantability, fitness for a particular purpose, or condition of the items.
• Pallet manifests (if provided) are estimates based on retailer data and are not guaranteed to be 100% accurate regarding item count, condition, or retail value.
• No refunds, returns, or exchanges will be granted based on the condition of the merchandise or inability to resell the items.

4. Pricing, Payments, and Taxes

All prices are subject to change without notice. We accept major credit cards, bank wire transfers, and localized payment methods. For large truckload orders, wire transfers may be required.

Unless you provide a valid State Resale Exemption Certificate prior to purchase, you are responsible for paying any applicable local, state, or federal sales taxes associated with your order.

5. Shipping and Risk of Loss

All freight shipments are arranged as a courtesy to the buyer. Ownership of the merchandise and the risk of loss or damage transfer to the buyer the moment the freight is loaded onto the third-party carrier's truck at our facility (FOB Origin).

The buyer is solely responsible for inspecting the freight upon delivery and noting any transit damage directly on the carrier's Bill of Lading (BOL). Failure to document damage on the BOL will result in the denial of any freight insurance claims by the carrier.

6. Intellectual Property

All content included on this site, such as text, graphics, logos, button icons, images, and software, is the property of The Elite Liquidators or its content suppliers and protected by United States and international copyright laws.

7. Limitation of Liability

In no event shall The Elite Liquidators, its directors, employees, or affiliates be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of our website or the purchase of our products. Our maximum liability to you under any circumstances will be equal to the purchase price you paid for the specific goods in dispute.

8. Governing Law

These Terms and Conditions and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding related to our website or your purchase shall be brought exclusively in a state or federal court located in Houston, Texas.
